Terms of Service

These Terms of Service ("Terms") govern access to and use of AutoSurvey, provided by Mindshare Studio LLC ("Mindshare Studio," "we," "us"). By installing or using AutoSurvey, the organization on whose behalf you act ("you," "Subscriber") agrees to these Terms. If you do not agree, do not use AutoSurvey.

1. Service description

AutoSurvey is a survey-building and survey-runtime product comprising:

• a Salesforce managed package (installed in your Salesforce org) that generates surveys — including AI-assisted survey generation — as Screen Flows, runs public/authenticated surveys, and stores responses in your org;
• an optional Google Sheets authoring add-on for designing surveys, with sheets hosted in our managed Google Workspace; and
• a hosted control-plane service for provisioning, licensing, AI key custody, and usage metering.

We may update or change features over time. The service is provided on a subscription/entitlement basis per your selected plan.

2. Accounts, plans, and fees

Access is governed by your plan and entitlement state (Trial, Standard, Pro, Enterprise, or as agreed). Feature availability, AI usage caps, and BYOK eligibility vary by plan. We may suspend or limit AI features when a plan's AI spend cap is reached, and may block creation/AI actions (while preserving read access to your data) when an entitlement expires.

3. Data ownership

• ✓ You own your data. As between you and Mindshare Studio, you retain all rights to your survey configurations and content and to the survey responses collected in your Salesforce org. We claim no ownership of them.
• We process respondent personal data only as your processor, under the Data Processing Agreement ("DPA"), which is incorporated into these Terms. For respondent personal data, the DPA controls in case of conflict.
• We own AutoSurvey itself — its software, packaged metadata, templates, and documentation — and all related intellectual property (§8).

4. Your responsibilities

You agree to:

• use AutoSurvey lawfully and ensure your surveys comply with applicable law;
• act as the data controller for respondent personal data: provide required privacy notices, obtain any required consent, establish a lawful basis, and honor data-subject rights (we assist as processor under the DPA);
• not survey children in violation of applicable law, and not collect special-category/regulated data unless lawfully entitled and appropriately safeguarded (note: the Text (Encrypted) display type masks input in the runner but does not by itself encrypt the managed answer store);
• secure your Google and Salesforce accounts and your AI API keys (BYOK);
• not reverse engineer, decompile, resell, or redistribute the software except as permitted by law or your plan, and not circumvent security, entitlement, or usage controls.

5. AI features and acceptable use

AI question generation and field-name suggestions send survey design content you author to an AI provider (OpenAI or Anthropic, depending on the model selected); they do not send survey responses. In BYOK mode you are responsible for your AI provider account and its terms. AI output may be inaccurate; you are responsible for reviewing AI-generated content before use. You agree not to use the AI features to generate unlawful content or to submit data you are not entitled to process.

6. Service availability

AutoSurvey is provided on an "as available" basis. We do not warrant uninterrupted or error-free operation, or continued compatibility with future Google or Salesforce changes.

7. Warranty disclaimer

EXCEPT AS EXPRESSLY STATED, AUTOSURVEY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Intellectual property

AutoSurvey and its original content, features, and functionality are owned by Mindshare Studio and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use AutoSurvey per your plan; no other rights are granted.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDSHARE STUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO AUTOSURVEY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO AUTOSURVEY WILL NOT EXCEED THE TOTAL FEES YOU PAID FOR AUTOSURVEY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID US ANY FEES). We are not responsible for third-party service outages (Google, Salesforce, OpenAI, Anthropic) or for data loss; you are responsible for maintaining backups/exports of your data.

10. Indemnification

You will defend, indemnify, and hold harmless Mindshare Studio (and its members, officers, and agents) from and against any third-party claim, and any resulting damages, liabilities, costs, and expenses (including reasonable attorneys' fees), arising out of or related to: (a) your surveys and the content and personal data you collect through them; (b) your collection, use, sharing, or handling of respondent personal data in violation of law or these Terms; or (c) your breach of these Terms. We will promptly notify you of the claim, give you sole control of its defense and settlement (provided that any settlement imposing a non-monetary obligation on us requires our prior written consent), and reasonably cooperate at your expense.

11. Termination

You may stop using AutoSurvey at any time by uninstalling the managed package and revoking the add-on's access. We may suspend or terminate access for breach, unlawful use, non-payment, or risk to the service or others. On termination, the data-handling and uninstall behavior in the Privacy Policy and the DPA apply. Export any data you wish to retain before uninstalling.

12. Changes to these Terms

We may modify these Terms; we will update the "Last updated" date and, for material changes, provide reasonable notice to subscribers. Continued use after changes constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the State of South Dakota, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in South Dakota.

14. Miscellaneous

If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will stay in effect (severability). These Terms, together with the Privacy Policy and DPA, are the entire agreement regarding AutoSurvey and supersede prior agreements on the subject.
